Part A: Terms of Service
MSP Billing Terms of Service. Version 1.0, effective 15 October 2026.
Key points (plain English; the clauses below are what bind us)
- MSP Billing is for businesses only.
- You can try it free for 60 days with no card. We can end or restrict the trial at any time. Your connection credentials are deleted when the trial ends and your other data 14 days later (Schedule 1).
- We read data from the systems you connect. We only write to them when you tell us to.
- You stay responsible for your billing decisions. Check discrepancies and draft invoices before acting on them (clause 10).
- Our liability is limited, as set out in clause 15.
- You own your data. We process it for you under the Data Processing Agreement (Part B).
- We will give you 30 days' notice of material changes to these terms (clause 20).
1. Who we are and what this agreement is
1.1 These terms (the Terms) are an agreement between you (the business that creates the account) and FinOptic Ltd, a company registered in England and Wales under number 17523265, whose registered office is 30 Commerce Square, Nottingham, NG1 1HS, trading as MSP Billing (we, us).
1.2 The Agreement means these Terms, Schedules 1 to 3, the Data Processing Agreement, and any order form we agree with you (an Order Form). The Service means the MSP Billing platform available at mspbilling.cloud and app.mspbilling.cloud, including its connectors and any related support.
2. Business use only
2.1 The Service is for businesses. You confirm that you are entering into the Agreement for purposes related to your trade, business or profession and not as a consumer.
2.2 The person accepting these Terms confirms they have authority to bind the business. If you do not have that authority, do not accept.
3. Accounts and users
3.1 You must give us accurate information and keep it up to date.
3.2 Each user must be your employee or contractor and must use their own account. Each user must set up multi-factor authentication as the Service requires. Free-trial users have 7 days to do so, after which access is blocked until it is set up. You must keep each user's sign-in details secure.
3.3 You are responsible for everything done through your accounts. Tell us promptly at j.doherty@mspbilling.cloud if you suspect any account has been compromised.
4. Free trial and paid plans
4.1 A free trial is governed by Schedule 1 in addition to these Terms. If there is a conflict, Schedule 1 applies to the trial.
4.2 Paid plans are described on our pricing page at mspbilling.cloud/pricing or in an Order Form.
5. Fees and payment (paid plans)
5.1 Fees are stated exclusive of VAT, which you must pay at the applicable rate.
5.2 We bill in advance for each billing period, either by invoice or through our payment provider, Stripe. Invoices are payable within 14 days unless the Order Form says otherwise. If you pay through Stripe, you authorise us to collect each recurring fee on its due date using the payment method you give us, until you cancel.
5.3 If you do not pay by the due date, we may charge interest under the Late Payment of Commercial Debts (Interest) Act 1998, and may suspend the Service under clause 17 after giving you 14 days' notice.
5.4 Paid plans renew automatically for successive periods equal to the initial period unless either of us gives notice of non-renewal before the renewal date. We will remind you before each annual renewal.
5.5 We may change our prices on 30 days' written notice, effective from your next renewal. If you object, you may cancel before the new price applies.
5.6 Fees are non-refundable except where this Agreement or the law says otherwise.
6. Connected services
6.1 The Service works by connecting to third-party systems you choose, such as PSA, RMM, distributor and accounting platforms (each a Connected Service). By connecting one, you confirm that you are authorised to give us access to it and to the data it holds.
6.2 By default we only read data from Connected Services. We write to a Connected Service (for example, sending a draft invoice to your accounting system) only when you or your authorised user enable or run a feature that does so.
6.3 You remain responsible for your agreements with each Connected Service provider, for any fees they charge, and for complying with their terms.
6.4 Connected Services are outside our control. We are not responsible for their outages, errors, rate limits, data quality, or changes to their APIs or terms, although we will try to adapt the Service where we reasonably can.
6.5 You can disconnect a Connected Service at any time in the Service, and you should also revoke our access inside that provider's own portal. When you disconnect, we delete the stored credentials or tokens for it.
6.6 We may disable a connector if its provider requires it, if it threatens the security of the Service, or if you breach clause 6.1.
7. Your data
7.1 Customer Data means all data you or your users enter into the Service or that we retrieve from Connected Services for you. As between us, you own it.
7.2 You give us the right to process Customer Data to provide, secure and support the Service, in line with the Data Processing Agreement.
7.3 You confirm that you have the right to share Customer Data with us and that doing so does not breach your obligations to your clients or any third party.
7.4 Do not upload special category data (such as health data), payment card numbers, or government identifiers to the Service. The Service does not need them.
7.5 We may use statistics derived from usage of the Service, and aggregated data that cannot identify you, your users or your clients, to operate and improve the Service. We will not sell Customer Data.
7.6 During the term and for 30 days afterwards (14 days after a free trial), you can export your reconciliation data using the export tools in the Service.
8. Data protection
8.1 The Data Processing Agreement in Part B forms part of this Agreement. For Customer Data that contains personal data, you are the controller and we are your processor.
8.2 For account, website and billing-contact data about your users, we are an independent controller and handle it as described in our Privacy Policy. The Privacy Policy is a notice and not part of this contract.
9. Acceptable use
You and your users must comply with the Acceptable Use rules in Schedule 2.
10. Accuracy and your responsibility for billing decisions
10.1 The Service is a decision-support tool. Its results depend on data held in Connected Services, which may be incomplete, delayed or wrong.
10.2 You must review discrepancies, rate cards, draft invoices and any proposed changes before you rely on them, send them to clients, or change or cancel any subscription. Anything sent to your clients or Connected Services at your instruction is your document and your decision.
10.3 We do not give accounting, tax, legal or financial advice, and the Service is not a substitute for your own financial review.
11. Availability, support and changes
11.1 We will provide the Service with reasonable skill and care. Support and availability targets are in Schedule 3.
11.2 We may update, improve or change the Service. We will not materially reduce the core functionality of a paid plan during its current term without giving you reasonable notice and a right to cancel with a pro-rata refund of prepaid fees.
11.3 Features we label as beta or preview are provided as is, without any commitment that they will be released or kept.
12. Intellectual property
12.1 The Service, its software, design and documentation belong to us or our licensors. We give you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes during the term.
12.2 You must not copy, sell, sublicense or reverse engineer the Service except as the law permits and cannot be excluded.
12.3 If you give us feedback or suggestions, we may use them without restriction or payment. We will not identify you as the source.
13. Confidentiality
13.1 Each of us must keep the other's confidential information confidential, use it only to perform or receive the Service, and disclose it only to personnel, advisers and subcontractors who need it and are bound by equivalent duties. Confidential information includes Customer Data, your pricing, rate cards and margins, security details of the Service, and any non-public business information.
13.2 This clause does not apply to information that is or becomes public through no fault of the recipient, was already known to the recipient, is independently developed, or is lawfully received from a third party. A party may disclose confidential information where the law, a court or a regulator requires it, giving the other notice first where lawful.
13.3 These duties last for the term and 3 years afterwards. They continue for as long as the information remains a trade secret or is Customer Data.
14. Warranties
14.1 Except as this Agreement expressly states, we give no warranties, and all implied warranties and conditions are excluded to the extent the law allows.
14.2 In particular, we do not warrant that the Service will be uninterrupted or error-free, or that it will identify every billing discrepancy.
15. Limitation of liability (important: please read)
15.1 Nothing in this Agreement limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded.
15.2 Subject to clause 15.1, we are not liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for:
- (a) loss of profit, revenue, business, contracts, goodwill or anticipated savings;
- (b) loss or corruption of data, subject to our obligations in the Data Processing Agreement;
- (c) any indirect or consequential loss; or
- (d) loss arising from errors, outages or changes in Connected Services, or from billing, invoicing, pricing or purchasing decisions you make.
15.3 Subject to clause 15.1, our total liability arising under or in connection with this Agreement in each 12-month period starting on the date you accept these Terms (and each anniversary) is limited to the greater of (a) the fees you paid or are payable for that period and (b) £100. Liability under the Data Processing Agreement counts towards this limit.
15.4 You acknowledge that these limits are reasonable given the price of the Service and the risks, and that you can insure against many of the losses excluded.
15.5 Nothing in this clause limits your obligation to pay fees.
15.6 Use at your own risk during the free trial. If you use a free trial, you do so at your own risk. You are responsible for checking any output before you act on it, and for keeping your own records and backups of your billing data in your Connected Services. We are not liable for any loss arising from your reliance on trial output.
16. Your indemnity
16.1 You will indemnify us against claims by third parties, and our reasonable related losses and costs, arising from (a) your breach of clause 6.1 or 7.3 or of Schedule 2, or (b) your connecting or using a client's or provider's data without proper authority.
16.2 We will tell you promptly of any such claim, let you control its defence, and give reasonable help at your cost. You must not settle it in a way that admits fault on our part without our consent.
17. Suspension
17.1 We may suspend all or part of your access immediately if (a) we reasonably believe it is necessary to protect the security or integrity of the Service or other customers, (b) the law, a regulator or a Connected Service provider requires it, (c) you breach Schedule 2 or clause 6.1, or (d) clause 5.3 applies.
17.2 Where reasonably practicable we will tell you why and will restore access once the cause is resolved.
17.3 Suspension or restriction of the free trial is governed by Schedule 1.
18. Term and termination
18.1 The Agreement starts when you accept these Terms and continues until it ends under this clause or Schedule 1. A paid plan runs for the term shown on the pricing page or in the Order Form.
18.2 Either of us may end the Agreement by notice if the other (a) commits a material breach and does not fix it within 30 days of notice, or (b) becomes insolvent, enters administration or liquidation, or is unable to pay its debts.
18.3 You may end a paid plan at the end of the current period by giving notice, in the Service or by email, before the renewal date.
18.4 We may end a paid plan for convenience on 60 days' notice. We will refund prepaid fees for the period after the end date.
19. What happens when the Agreement ends
19.1 Your right to use the Service ends. We disconnect all Connected Services and delete the stored credentials and tokens for them immediately.
19.2 We keep your other Customer Data for 30 days after termination so you can export it, then delete it from our live systems, and from backups within a further 35 days. Free trials follow the timings in Schedule 1.
19.3 We may keep records the law requires and the limited records listed in our Privacy Policy.
19.4 Fees already due remain payable. Clauses 7.1, 8, 10, 12, 13, 15, 16, 19, 22 and 23, and anything else intended to continue, survive termination.
20. Changes to these Terms
20.1 We may change these Terms, the Schedules or the Data Processing Agreement. For material changes we will give you at least 30 days' notice by email and in the Service.
20.2 If a material change is adverse to you and you object, you may end the Agreement before the change takes effect by telling us, and we will refund prepaid fees for the unused period.
20.3 If you keep using the Service after the change takes effect, you accept it.
20.4 We may make changes immediately where the law requires or to protect security, giving notice as soon as practicable. Corrections of typographical errors take effect when published.
21. Notices
21.1 Notices to you may be sent by email to your account administrator or shown in the Service. Notices to us go to j.doherty@mspbilling.cloud, with a copy to our registered office for formal legal notices.
21.2 An email notice is treated as received on the next Business Day after sending, unless the sender receives a delivery failure message. Business Day means a day other than a Saturday, Sunday or public holiday in England.
22. General
22.1 Entire agreement. The Agreement is the whole agreement between us about the Service. Neither of us relies on statements not set out in it, but nothing excludes liability for fraud. Any terms you issue (such as purchase order terms) do not apply.
22.2 Assignment and novation.
- (a) We may assign, novate or otherwise transfer this Agreement, including the Data Processing Agreement, to any company in our group or to any successor to our business, by giving you at least 30 days' notice.
- (b) On novation, the new party takes over our rights and obligations and we are released. Your data, connections and settings stay in place.
- (c) If the new party is not a group company, you may end the Agreement within the notice period and receive a refund of prepaid fees for the unused period.
- (d) You may not assign or transfer the Agreement without our prior written consent, which we will not unreasonably withhold.
22.3 Subcontractors. We may use subcontractors, including sub-processors under the Data Processing Agreement, and remain responsible for them.
22.4 Events beyond our control. Neither of us is liable for delay or failure caused by events beyond its reasonable control. This does not excuse payment obligations.
22.5 Severability and waiver. If part of the Agreement is unenforceable, the rest continues. A delay in enforcing a right is not a waiver of it.
22.6 Third parties. No one other than you and us has any right to enforce the Agreement under the Contracts (Rights of Third Parties) Act 1999.
22.7 Electronic acceptance. Accepting these Terms online is binding. We keep a record of the version accepted, the time, the user and the IP address as evidence.
22.8 Publicity. We will not use your name or logo publicly without your consent.
22.9 Order of precedence. If provisions conflict, the Data Processing Agreement prevails on personal data, then Schedule 1 on the free trial, then any Order Form, then these Terms and the other Schedules.
23. Governing law and jurisdiction
The Agreement, and any dispute or claim arising out of or in connection with it (including non-contractual disputes), is governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.

Schedule 1: Free Trial Terms
These terms apply, in addition to the rest of the Agreement, to any free trial of the Service.
1. Eligibility. The trial is for businesses. Each organisation (and its group) may have one trial. We may decline or end a trial if we reasonably think the sign-up is a repeat, or from a competitor.
2. Length and cost. The trial runs for 60 days from the date your first user signs in. It is free, we take no payment details, and it does not convert into a paid plan unless you choose to upgrade.
3. What the trial includes. The trial includes Live Monitoring. You may link RMM and distributor tools of your choice, and our access to them is read-only. On this plan we do not connect to PSA or accounting systems. We may set usage limits (for example, number of connections or users), which the Service will show.
4. Your data during the trial. We read billing and usage data from the tools you link (such as client names, product names, quantities and prices) to show you Live Monitoring. Clauses 6, 7 and 8 and the Data Processing Agreement apply to the trial in full.
5. Reminders. We will email your account administrator 14 days, 7 days and 1 day before the trial ends.
6. Upgrading. You can upgrade at any time. Your account and settings carry over, and the paid terms apply from the date you upgrade.
7. When the trial ends, for any reason:
- (a) your access ends or is restricted;
- (b) we immediately disconnect your Connected Services and delete the stored credentials and tokens. You should also revoke our access inside each provider's own portal, and you will need to reconnect them if you upgrade later;
- (c) we keep your other data for 14 days so you can upgrade or export it, and we will email you 7 days before deletion;
- (d) after 14 days we delete it from our live systems, and from backups within a further 35 days; and
- (e) we keep only the limited records listed in our Privacy Policy.
8. Our right to end or restrict the trial (important). We may end, suspend or restrict the trial at any time and for any reason, including before the 60 days are up. Where reasonably practicable, we will give you notice and a chance to export your data, but we may act without notice where there is abuse, a security risk or a legal requirement. The trial is free, so no refund or compensation is due. Paragraph 7 applies if we end it.
9. No commitments. The trial is provided as is and without charge. We make no uptime or support commitments, and clause 11.1 does not apply to it. Do not rely on trial results for invoicing or purchasing decisions without checking them yourself. Clause 15 applies, so our total liability for the trial is limited to the amount in clause 15.3(b).
10. Changes. Trial features and limits may change or be removed during the trial.
Schedule 2: Acceptable Use
You must not, and must not allow your users to:
- (a) use the Service unlawfully or in a way that infringes anyone's rights;
- (b) connect an account or system you are not authorised to access, or share credentials or tokens that belong to someone else;
- (c) try to gain unauthorised access to the Service, other customers' data or any Connected Service, or probe, scan or test the Service's security without our written consent (report vulnerabilities to j.doherty@mspbilling.cloud);
- (d) interfere with or disrupt the Service, including by automated requests beyond reasonable use;
- (e) introduce malware or malicious code;
- (f) scrape, harvest or bulk-extract data from the Service other than through the export tools we provide;
- (g) resell, sublicense or white-label the Service, offer it to third parties as a bureau, or share an account between organisations;
- (h) reverse engineer the Service, or use it to build a competing product or publish benchmark results without our consent;
- (i) upload data prohibited by clause 7.4; or
- (j) bypass or disable security controls such as sign-in verification or rate limits.
We may suspend access under clause 17 for a breach of this Schedule.
