    End User License Agreement

    This End User License Agreement ("Agreement") is between Deliberately Simple Digital t/a MSP Billing ("we", "us", "our") and the individual or organisation ("you") using MSP Billing (the "Service"). By creating an account or otherwise using the Service, you agree to be bound by this Agreement. If you do not agree, do not use the Service.

    1. Grant of license

    Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes, for as long as your subscription remains active.

    2. Account and connected services

    You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. When you connect a third-party system (such as QuickBooks, Xero, or a PSA/RMM/distributor platform) to the Service, you confirm that you are authorised to grant the Service access to that system and its data, and you remain responsible for your use of those third-party systems and their own terms of service.

    3. Acceptable use

    You agree not to:

    • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
    • Attempt to gain unauthorised access to the Service, other accounts, or connected systems
    • Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law
    • Use the Service to process data you are not lawfully entitled to process (including your clients' data, where applicable)
    • Interfere with or disrupt the integrity or performance of the Service

    4. Data and third-party connections

    The Service connects to third-party platforms you authorise (accounting, PSA, RMM, and distributor systems) to retrieve and reconcile billing data on your behalf. Our handling of that data is described in our Privacy Policy. You are responsible for ensuring your use of the Service, including any data you connect or push to third-party systems, complies with your own agreements and obligations with your clients and those third parties.

    5. Intellectual property

    The Service, including its software, design, and underlying technology, is owned by Deliberately Simple Digital t/a MSP Billing or its licensors. This Agreement does not grant you any ownership rights in the Service. Any data you connect or input remains yours; we claim no ownership over your business data.

    6. Subscription, fees, and termination

    Access to the Service may be subject to fees as described at signup or in a separate order form. We may suspend or terminate your access if you breach this Agreement, fail to pay applicable fees, or if required to comply with law. You may stop using the Service and close your account at any time; see our Privacy Policy for how account data is handled after termination.

    7. Disclaimer of warranties

    The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that all billing discrepancies will be identified - the Service is a tool to assist your own reconciliation process, not a substitute for your own financial review.

    8. Limitation of liability

    To the fullest extent permitted by law, Deliberately Simple Digital t/a MSP Billing shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Service, even if advised of the possibility of such damages. Our total liability arising from this Agreement shall not exceed the amount you paid us in the 12 months preceding the claim.

    9. Governing law

    This Agreement is governed by the laws of England and Wales, without regard to its conflict of law principles.

    10. Changes to this Agreement

    We may update this Agreement from time to time. We will notify you of material changes via the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Agreement.
